Antitrust

With the modifications resulting from the Law No. 12.529/2011, the Administrative Council for Economic Defense (CADE, by its Brazilian name), has become more involved in corporate transactions, creating internal organs with the objective of strengthening and specialization of its controls and interventions.

This legislation has also brought the necessity of prior authorization from CADE for an increased number of transactions . Abusive exercise or exploitation of rights related to industrial property, intellectual property, technology, or trademarks, are now considered practices against the economic system.

As such, protection and specialized professional guidance in decisions and actions involving corporate transactions is of fundamental importance. Since 1996 professionals connected to RGAA have acted before CADE in a range of matters, as much in presentation of acts as in denouncements of anti-competitive business practices and defense of rights of our clients.

Our scope of work in corporate transactions:

— acquisitions and mergers
— creation and modification of commercial/corporate agreements
— notifications/disclosures to competent authorities of concentration acts
— representation before authorities in administrative/judicial litigation
— legal opinions
— legal defense measures for national or international enterprises in investigations of claims/allegations of anti-competitive acts
